The transactions of the shares of Young India is perfectly in order. It strengthens the fact that Young India is controlled by Gandhis.
But the issue is not of Young India but that of Associated Journals. The whole scam is giving loan by Congress party to Associated Journal, write off the loan in short period and then sale the loan to Young India so that in books of Associated Journals Young India is lender of 90 crores. Inspite of the fact that Associated Journals is owner of the assets with market value of over Rs.2500 crores, just by converting loan of Rs. 90 crores in equity, Young India becomes holder of Rs. 90 crores equity with negligible equity held by existing shareholders - about 99% equity shares are now held by Young India.
It is to be noted that the book value of the assets in books of Associated Journals is negligible as the same is stated at historical cost i.e. cost of acquisition.
Typically in commercial transactions, it is not uncommon to acquire shares of loss making company by converting loan into equity. BUT WHEN SHARE PRICE FOR ISSUING NEW SHARES IS TO BE WORKED OUT, IT SHOULD BE WORKED OUT BY CALCULATING PREMIUM BASED ON CURRENT MARKET VALUE OF ASSETS. In the instant case the value of new equity shares should have been face value of shares Rs. 10 and premium of atlest Rs.100,000.(since the details of existing equity is not available, I have just given the example). Inshort,after conversion of loan into equity, YI's equity holding should be 10-15%

The Congress which ruled the country for more than 60 years have so many supporters at various key levels so that they can diversify any issue. They raised various issues like award wapsi, intolerance, political vendetta and so on. Watch silently time and again many more such issues will be raised so that government will succumb to such pressures.

In a tv interview yesterday, dr. Swami very confidently stated that Sonia and Rahul will go to jail for the National Herald racket.Let us not underestimate his legal preparations to win this case. And in near future we will have Gandhis-Mukta Congress to have a reborn, democratic opposition party. It is this prospect which makes the Herald-Young India case exciting.

There is an example in Hyderabad. A Social Enterprise Group based out of Hyderabad and Registered in Delhi has several Sec25 companies under its belt. Most of them have a subscribed share capital of about One lakh rupees while one or two companies have about five lakh rupees and strangely one company has One Crore rupees subscribed capital. If one gets into details of board of directors it is curious, intriguing and networked like cob-web. One or two Directors are very Interesting and curious persons. One more strange aspect is in one of these several Section 25 companies a small time employee but associated with top is A Director. If balance sheets are analysed and related among group companies, there appears a clear pattern and path of money transfers, transfers of surpluses made out of Grants received as at grant project closure and many such things amounting to money laundering etc. So many Social Entrepreneurs of repoot have perfected the art of Section25 companies and phudging balance sheets and conseeling fund transfers. Eks Corporates like Satyam Computers were known to float several companies almost on daily basis. All are in the game be it corporates or Social Corporate

Dr Subramaniam Swamy argued his case before the High Court while Gandhis were represented by senior lawyers like Kapil Sibal and Abhishek Singhavi still they miserably failed in their attempts to quash the complaints. The readers must read 27 pages judgement of Justice Sunil Gaur delivered on 7 th December to know the facts of the case and to know the reasons why honourable Judge refused to interfere in the matter and directed Gandhis and others to face trial before the trial court.

Let us find out Who the auditor to these companies. What a brain. They must be doing the thriving business.There should be a provision in the law that the government must have a right to cease the licence of the auditor who is helping this type of companies.

India is the best country to do business!! The company law, income tax , public sector banks are helpful to those who run shoddy business. The big houses take lakhs crores from bank n keep restructuring n without paying?? Company law has fancy rules n reality there's no way of monitoring n any checks n any sentencing?? iT has special routes for these!! The honest business men are called don't know how to do biz in india??

Recently it has come out that all biz houses have lakh.crores loan from the natioalised n private bank. There are Adani, reliance, Tatas n many between 80k to 100k crores!! And there are others like mallya, Abg ship yard, Bharathi ship yard.. N many!! The banks write off the loans , restructure them n so on!! If yo want to di biz , think big!! The banks go out of the way.. Assets worth 5 crores are mortgaged for 50 crores!! There's no logic n principle, only corruption!!
